ROAMII用户服务协议(V1.0)

ROAMII User Service Agreement (Version 1.0)

本协议生效日期为2025年9月1日,适用于所有通过应用商店、官网或合作渠道下载、注册并使用“ROAMII”服务(以下简称“本服务”)的自然人、法人或其他组织(统称“用户”或“您”),核心内容从9大维度展开,具体如下:

This Agreement shall take effect on September 1, 2025 and applies to all natural persons, legal entities, or other organizations (collectively referred to as "Users" or "You") who download, register for, and use the "ROAMII" services (hereinafter referred to as "the Services") through app stores, official websites, or partner channels. The core content is structured into 9 key sections as follows:

一、定义与范围:明确服务内容、责任边界

1. Definitions and Scope: Clarifying Service Content and Liability Boundaries

1. 服务内容(核心功能)

1.1 Service Content (Core Functions)

为用户提供景区/博物馆介绍、旅游路线规划、美食推荐、语音/文字导览、多语言翻译等服务。

The Services provide Users with introductions to scenic spots/museums, travel route planning, food recommendations, audio/text guided tours, multilingual translation, and other related services.

2. 除外责任

1.2 Exclusions of Liability

  • 不提供非合作场所(如私人区域、未授权景区)的导览服务;

    The Services do not cover guided tour services for non-cooperative venues (including but not limited to private areas and unauthorized scenic spots);

  • 不对导览信息准确性(如历史年代、距离误差)作绝对保证。

    The Platform does not make absolute guarantees regarding the accuracy of guided tour information (such as errors in historical timelines or distance measurements).

3. 服务边界

1.3 Service Boundaries

  • 仅限中国境内使用,境外使用需自行承担网络、法律合规风险;

    The Services are intended for use within the territory of the People's Republic of China only. For use outside this region, Users shall bear all risks independently, including but not limited to network connectivity issues and compliance with local laws and regulations;

  • 禁止用于商业用途(如旅行社导览、商业调研)或非法活动(如测绘、监控)。

    The Services shall not be used for commercial purposes (including but not limited to tour guide services by travel agencies, commercial research) or illegal activities (including but not limited to surveying and mapping, monitoring).

二、用户权利与义务:清晰权责划分

2. User Rights and Obligations: Clear Division of Rights and Responsibilities

1. 用户权利

2.1 User Rights

  • 免费用户仅享有基础功能使用权;

    Free Users: Entitled to use only the basic functions of the Services;

  • 付费用户在订阅期内享有完整服务权;

    Paid Users: Entitled to access the full range of Services during the subscription period;

  • 全体用户可通过App内“意见反馈”通道提交问题或建议,平台将在3个工作日内予以回应(紧急安全问题除外)。

    All Users: May submit questions or suggestions through the "Feedback" channel within the App. The Platform shall respond within 3 business days, except for urgent security-related issues.

2. 用户义务

2.2 User Obligations

  • 账户安全:对注册信息(包括手机号、邮箱等)的真实性、准确性及完整性负责;因注册信息不实或泄露导致的损失,由用户自行承担。

    Account Security: Users shall be responsible for the authenticity, accuracy, and completeness of the registration information (including but not limited to mobile phone numbers and email addresses). Users shall bear all losses caused by untrue or leaked registration information;

  • 行为规范:

    Code of Conduct:

    • 禁止通过爬虫、API逆向工程等技术手段获取或复制导览数据;

      Prohibited from obtaining or copying guided tour data through technical means such as web crawlers or API reverse engineering;

    • 禁止利用本服务发布色情、诽谤、煽动性等违法信息;

      Prohibited from publishing illegal content (including but not limited to pornographic, defamatory, or inciting content) using the Services;

    • 禁止通过DDoS攻击、恶意刷接口等方式干扰服务正常运行。

      Prohibited from disrupting the normal operation of the Services through means such as DDoS attacks or malicious interface brushing;

  • 数据使用:用户上传的自定义路线、评论等个性化内容,需严格遵守《中华人民共和国网络安全法》《中华人民共和国个人信息保护法》等相关法律法规,且不得侵犯任何第三方合法权益。

    Data Usage: User-generated content uploaded to the Platform (including but not limited to custom routes and comments) must comply with applicable laws and regulations, such as the *Cybersecurity Law of the People's Republic of China* and the *Personal Information Protection Law of the People's Republic of China*, and shall not infringe upon the legitimate rights and interests of any third party.

三、数据隐私与安全:保障用户数据权益

3. Data Privacy and Security: Protecting User Data Rights

1. 数据收集范围

3.1 Scope of Data Collection

  • 必要数据:包括设备型号、操作系统版本、服务使用期间的位置信息、匿名化处理的App使用日志;

    Necessary Data: Includes but is not limited to device model, operating system version, location information during the use of the Services, and anonymized App usage logs;

  • 敏感数据:平台严格禁止收集人脸、指纹等生物识别信息。

    Sensitive Data: The Platform strictly prohibits the collection of biometric information such as facial recognition data and fingerprint data.

2. 数据处理规则

3.2 Data Processing Rules

  • 用户数据仅存储于中华人民共和国境内服务器;未经用户明确同意,不向境外传输或存储用户数据;

    User data shall be stored only on servers located within the territory of the People's Republic of China. Without the explicit consent of the User, no user data shall be transmitted or stored outside this region;

  • 用户可通过App设置功能一键删除账户及关联数据,平台承诺在用户申请删除后7个工作日内完成数据清除;

    Users may delete their accounts and associated data with one click through the settings in the App. The Platform undertakes to complete the data deletion process within 7 business days after receiving the User's deletion request;

  • 仅在必要时,与具备《中华人民共和国增值电信业务经营许可证》的第三方服务商(例如地图API供应商)共享必要数据,且合作方需签署具有法律效力的保密协议。

    Where necessary, the Platform may share necessary data with third-party service providers (e.g., map API suppliers) that hold the *Value-added Telecommunications Business Operation Permit of the People's Republic of China*. All such partners shall sign a legally binding confidentiality agreement.

3. 安全措施

3.3 Security Measures

  • 采用HTTPS协议进行数据传输加密,使用AES-256算法对数据进行存储加密;

    Data transmission shall be encrypted using the HTTPS protocol, and data storage shall be encrypted using the AES-256 algorithm;

  • 定期开展安全漏洞扫描(频率不低于每季度一次),若发现安全风险,将在24小时内启动应急响应机制。

    Regular security vulnerability scans shall be conducted (at a frequency of no less than once per quarter). In the event of a detected security risk, an emergency response mechanism shall be activated within 24 hours.

四、知识产权:明确归属与授权

4. Intellectual Property Rights: Clarifying Ownership and Authorization

1. 平台权利

4.1 Platform Rights

平台App的界面设计、计算机代码、商标、专利、导览内容(包括语音讲解、AR素材等)等知识产权均归平台所有,受《中华人民共和国著作权法》《中华人民共和国反不正当竞争法》等相关法律法规保护;用户不得擅自修改平台App的计算机代码、去除品牌标识,或用于任何形式的二次开发。

All intellectual property rights related to the Platform's App, including but not limited to interface design, computer code, trademarks, patents, and guided tour content (such as audio explanations and AR materials), are owned by the Platform. These rights are protected by applicable laws and regulations, including the *Copyright Law of the People's Republic of China* and the *Anti-Unfair Competition Law of the People's Republic of China*. Users shall not modify the App's computer code, remove brand logos, or use the App for any form of secondary development without authorization.

2. 用户内容授权

4.2 Authorization of User-Generated Content

用户上传至平台的内容(以下简称“用户内容”),默认授予平台全球范围内、免许可费、可再授权的非独占使用权,仅限用于优化服务品质之目的;若因用户内容引发第三方权利主张(包括侵权投诉、诉讼等),用户应自行承担全部法律责任(包括赔偿责任、诉讼费用、和解费用等)。

By uploading content to the Platform (hereinafter referred to as "User Content"), Users shall be deemed to grant the Platform a non-exclusive, worldwide, royalty-free, and sub-licensable license to use such content, solely for the purpose of optimizing the quality of the Services. In the event that third-party claims arise (including but not limited to infringement complaints or lawsuits) due to User Content, the User shall bear all legal liabilities independently, including but not limited to compensation liabilities, litigation costs, and settlement fees.

五、免责声明与责任限制:界定风险承担

5. Disclaimer and Limitation of Liability: Defining Risk Bearers

1. 服务风险

5.1 Service Risks

  • 因不可抗力(包括自然灾害、政府行政行为、网络运营商故障)导致服务中断或无法提供的,平台不承担相应责任;

    The Platform shall not be liable for service interruptions or failures caused by force majeure (including but not limited to natural disasters, government administrative actions, and network operator malfunctions);

  • 平台对第三方提供的导览信息(例如景区官方网站数据)的准确性、时效性不作任何明示或默示的保证。

    The Platform makes no express or implied guarantees regarding the accuracy or timeliness of guided tour information provided by third parties (e.g., data from official scenic spot websites).

2. 用户行为责任

5.2 Liability for User Conduct

  • 用户因违反本协议约定(包括非法爬取数据等)导致的行政处罚、民事赔偿责任,由用户自行承担;

    Users shall bear all administrative penalties or civil compensation liabilities arising from their violation of this Agreement (including but not limited to illegal data crawling);

  • 因用户设备兼容性问题(例如操作系统版本过低、硬件配置不足等)导致服务功能异常的,平台不承担补偿责任。

    The Platform shall not be liable for compensation for service function abnormalities caused by User device compatibility issues (e.g., outdated operating system versions or insufficient hardware configurations).

3. 责任上限

5.3 Limitation of Liability

平台对用户提出的所有索赔(包括直接损失、间接损失、利润损失)承担的总责任,不超过用户最近一个月付费金额的3倍;若用户为免费用户,平台承担的总责任不超过人民币100元。

The total liability of the Platform for all claims made by Users (including but not limited to direct damages, indirect damages, and loss of profits) shall not exceed three times the amount of the User's subscription fee paid in the most recent month; for Free Users, the total liability of the Platform shall not exceed 100 Chinese Yuan (CNY).

六、费用与支付:规范订阅与退款

6. Fees and Payments: Regulating Subscriptions and Refunds

1. 订阅服务

6.1 Subscription Services

  • 付费订阅服务采用自动续费模式,用户如需终止订阅,需在当前订阅周期到期前通过账户设置功能关闭自动续费;

    Paid subscription services adopt an automatic renewal model. To cancel the subscription, Users must disable automatic renewal through the account settings before the end of the current subscription period;

  • 订阅期内用户如需提前解约,需提前30日向平台提交书面解约通知;经平台审核确认后,已享受的服务费用将按实际使用天数比例扣除,剩余费用将退还用户。

    If a User wishes to terminate the subscription early during the subscription period, they must submit a written termination notice to the Platform 30 days in advance. After the Platform's review and confirmation, the fee for the services already used shall be deducted in proportion to the actual number of days used, and the remaining fee shall be refunded to the User.

2. 退款政策

6.2 Refund Policy

  • 用户付费后24小时内(含)未实际使用平台服务的,可申请全额退款;

    If a User has not actually used the Platform's Services within 24 hours (inclusive) of payment, they may apply for a full refund;

  • 若用户付费超过24小时或已实际使用部分服务的,可申请按剩余服务天数比例退还费用(已消耗服务对应的费用将扣除50%作为手续费)。

    If a User has paid for more than 24 hours or has actually used part of the Services, they may apply for a refund of the fee in proportion to the remaining service days (a 50% handling fee shall be deducted from the fee corresponding to the used services).

七、协议终止与账户管理:明确终止情形与数据留存

7. Termination of Agreement and Account Management: Clarifying Termination Scenarios and Data Retention

1. 终止情形

7.1 Termination Scenarios

  • 用户违反本协议约定(包括从事违法活动、严重违反用户义务等),平台有权立即终止服务并删除用户账户;

    If a User violates this Agreement (including but not limited to engaging in illegal activities or seriously breaching User obligations), the Platform shall have the right to immediately terminate the Services and delete the User's account;

  • 因平台经营策略调整需终止服务的,平台将提前30日通过App弹窗提示及注册邮箱向用户发送通知。

    If the Platform needs to terminate the Services due to business strategy adjustments, it shall notify Users 30 days in advance through App pop-up notifications and registered email addresses.

2. 数据留存

7.2 Data Retention

用户账户终止后,平台将保留用户数据60日(自终止之日起计算),以便处理可能的争议;期限届满后,用户数据将被永久删除。

After the termination of a User's account, the Platform shall retain the User's data for 60 days (calculated from the date of termination) to handle potential disputes. Upon the expiration of this period, the User's data shall be permanently deleted.

八、法律适用与争议解决:确定法律依据与处理方式

8. Governing Law and Dispute Resolution: Determining Legal Basis and Handling Methods

1. 适用法律

8.1 Governing Law

本协议的订立、效力、解释、履行及争议解决均适用中华人民共和国法律(不含香港特别行政区、澳门特别行政区及台湾地区法律),并排除相关冲突法规则的适用。

This Agreement shall be governed by the laws of the People's Republic of China (excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan Region), excluding conflict of laws rules.

2. 争议解决

8.2 Dispute Resolution

如双方就本协议发生争议,应首先通过友好协商解决;协商不成的,任何一方均有权将争议提交苏州仲裁委员会按照其届时有效的仲裁规则进行仲裁,仲裁裁决为终局,对双方均有约束力;在仲裁期间,除涉及争议的条款外,本协议其他条款应继续履行。

In the event of a dispute arising from this Agreement, the parties shall first attempt to resolve it through friendly negotiation; if negotiation fails, either party shall have the right to submit the dispute to the Suzhou Arbitration Commission for arbitration in accordance with its arbitration rules in effect at that time. The arbitration award shall be final and binding on both parties; during the arbitration process, all provisions of this Agreement except those related to the dispute shall remain in effect.

九、其他条款:补充特殊说明

9. Other Provisions: Supplementary Special Notes

1. 未成年人保护

9.1 Protection of Minors

未满14周岁的用户注册平台服务,需经其法定监护人同意;平台不会主动收集未成年人的个人信息。

Users under the age of 14 must obtain the consent of their legal guardians to register for and use the Platform's Services. The Platform shall not actively collect personal information of minors.

2. 条款更新

9.2 Updates to Terms

  • 平台保留对本协议的单方修改权利;修订后的协议条款将在App内进行公示,公示期为7个自然日;用户自公示期届满后继续使用平台服务的,视为同意接受修订后的协议条款;

    The Platform reserves the right to modify this Agreement unilaterally. The revised terms shall be publicly notified within the App for a notice period of 7 natural days. If a User continues to use the Platform's Services after the expiration of the notice period, it shall be deemed that the User agrees to the revised terms;

  • 若修订内容涉及服务费用调整或用户权利义务的重大变更,平台将通过短信、电子邮件等方式向用户单独发送通知。

    If the revised content involves adjustments to service fees or significant changes to User rights and obligations, the Platform shall separately notify Users via SMS, email, or other means.
